Terms of Use

Effective Date: October 2, 2026

1. Who We Are

The Basketball Festival website, mobile application, and related online services (collectively, the "Website") are operated by TBF Event Management, LLC, a Delaware limited liability company ("TBF Event Management," "we," "us," or "our").

The name "The Basketball Festival," its logos, and related trademarks, domain names, and other intellectual property are owned by The Basketball Festival, LLC, a Delaware limited liability company ("Brand Owner"), and are used by TBF Event Management under license. Brand Owner does not operate the Website, does not organize, produce, or manage any event, and is not a party to any transaction made through the Website.

TBF Event Management is solely responsible for the operation of the Website and for all events, registrations, ticket sales, sponsorships, vendor arrangements, merchandise sales, and other services offered through it. TBF Event Management and Brand Owner are separate legal entities, and nothing in these Terms creates a partnership, joint venture, or agency relationship between them.

2. Acceptance of These Terms

These Terms of Use ("Terms") are a legal agreement between you and TBF Event Management. You accept these Terms when you click "I agree" or a similar button, create an account, register for an event, or make a purchase through the Website. If you do not agree, do not use the Website.

If you accept these Terms on behalf of an organization, you represent that you have authority to bind that organization.

3. Eligibility and Minors

You must be at least 18 years old, or the age of majority where you live, to create an account, accept these Terms, or make a purchase.

The Website is not directed to children under [13]. We do not knowingly collect personal information directly from children under [13]. If you are a parent or legal guardian, you may register a minor for an event, and by doing so you accept these Terms and any applicable event terms and waivers on the minor's behalf and agree to supervise the minor's use of the Website. If you believe a child under [13] has provided personal information to us without parental consent, contact us at the address below and we will delete it.

4. Events, Tickets, Registrations, and Other Transactions

Contracting party. TBF Event Management is the seller, organizer, and contracting party for all event registrations, ticket sales, sponsorships, vendor and exhibitor arrangements, merchandise sales, and other transactions made through the Website, unless a written agreement signed by an authorized TBF Event Management representative states otherwise. Brand Owner is not a party to, and has no obligations under, any such transaction.

Additional terms. Transactions and event participation may be subject to additional terms, including ticket terms, refund policies, participant waivers and releases, codes of conduct, and sponsorship or vendor agreements ("Additional Terms"). If Additional Terms conflict with these Terms, the Additional Terms control for that transaction or event.

Event information. Event dates, times, venues, schedules, formats, featured players, guests, performers, and other event details are subject to change. We will make reasonable efforts to communicate material changes. Refunds, if any, are governed solely by the applicable refund policy or Additional Terms.

Event risks. Participation in, and attendance at, basketball and other athletic events involves inherent risks, including physical injury. Your participation in any event is governed by the applicable waiver, release, and Additional Terms, not by these Terms.

Pricing and errors. We may correct pricing or descriptive errors and may cancel orders affected by an error, with a refund of any amount paid for the cancelled order.

5. Intellectual Property

The Website and its content, including text, graphics, photographs, video, logos, designs, and software, are owned by Brand Owner, TBF Event Management, or their licensors, and are protected by copyright, trademark, and other laws. All rights not expressly granted are reserved.

Subject to these Terms, you may view and use Website content for your personal, non-commercial use. You may share links to Website pages and use the sharing tools we provide. You may not, without our prior written permission:

  • Copy, republish, sell, rent, sublicense, or commercially exploit Website content.

  • Remove or alter any copyright, trademark, or other proprietary notice.

  • Frame the Website or otherwise alter its appearance.

  • Use Website content to train or develop any software or machine-learning model.

6. Trademarks

"The Basketball Festival," its logos, and related names, slogans, and trade dress are trademarks of The Basketball Festival, LLC, used under license. You may not use them, including in connection with any link, product, service, or promotion, without prior written permission from Brand Owner or TBF Event Management as its authorized licensee. Other trademarks on the Website belong to their respective owners.

7. User Content

Some areas of the Website may let you post or submit comments, photos, videos, reviews, or other material ("User Content"). You are responsible for your User Content. We do not review User Content before it is posted and do not endorse any opinions expressed in it.

By submitting User Content, you represent and warrant that you own or have the necessary rights to it, and that it does not infringe or violate anyone's rights, is not unlawful, defamatory, obscene, harassing, fraudulent, or misleading, and does not include unauthorized advertising or solicitation.

You keep ownership of your User Content. You grant TBF Event Management and Brand Owner a worldwide, royalty-free, non-exclusive, perpetual, transferable, and sublicensable license to use, reproduce, modify, publish, distribute, display, and create derivative works from your User Content in any media, in connection with the Website, The Basketball Festival brand, and its events and promotion.

We may remove or refuse any User Content at any time, for any reason.

8. Feedback

If you send us ideas, suggestions, or other feedback about the Website, events, or our services, you agree that we may use it for any purpose without restriction or compensation to you, and that we have no obligation to keep it confidential.

9. Copyright Complaints (DMCA)

We respect intellectual property rights. If you believe material on the Website infringes your copyright, send a written notice to our designated agent that includes:

  1. Your physical or electronic signature.

  3. Identification of the material you claim is infringing, and information reasonably sufficient for us to locate it.

  4. Your contact information, including address, telephone number, and email.

  5. A statement that you have a good-faith belief that the use is not authorized by the copyright owner, its agent, or the law.

  6. A statement, under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or authorized to act on the owner's behalf.

Designated agent: TBF Event Management, LLC: legal@thebasketballfestival.com

We will respond to valid notices as required by the Digital Millennium Copyright Act, including by removing or disabling access to infringing material. We may terminate the accounts of users who repeatedly infringe. If your content was removed and you believe it was removed by mistake, you may send a counter-notice as permitted by law.

10. Acceptable Use

You agree not to:

  • Use the Website in violation of any law or regulation.

  • Access or attempt to access accounts, systems, or data without authorization.

  • Interfere with, disrupt, or overload the Website or its security features.

  • Upload viruses or other malicious code.

  • Use bots, scrapers, or other automated means to access or copy the Website, except search engines indexing public pages.

  • Resell tickets or registrations in violation of the applicable Additional Terms.

  • Impersonate any person or misrepresent your affiliation with anyone, including with TBF Event Management or Brand Owner.

  • Harass, threaten, or harm any person, or violate anyone's rights.

We may suspend or terminate your access to the Website at any time if we believe you have violated these Terms.

11. Links to and from the Website

You may link to the Website's public pages if the link is not misleading and does not suggest any sponsorship, endorsement, or affiliation that does not exist. You may not use our trademarks or logos in a link without written permission. We may ask you to remove a link at any time.

The Website may contain links to third-party websites and services, including ticketing, payment, and social media platforms. We do not control and are not responsible for them, and your use of them is subject to their own terms and policies.

12. Privacy and Cookies

Our [Privacy Policy] explains how TBF Event Management collects, uses, and shares personal information, including through cookies, pixels, and similar technologies used by us and our analytics and advertising partners, and the choices available to you. You can manage cookie preferences through our cookie settings tool [where offered] and through your browser. Disabling some cookies may affect how the Website works.

13. Electronic Communications and Text Messages

By using the Website or contacting us electronically, you consent to receive communications from us electronically, and you agree that electronic notices, agreements, and disclosures satisfy any requirement that they be in writing.

We will send marketing text messages only if you have given separate, express consent. Message and data rates may apply. You may opt out at any time by replying STOP. Consent to marketing messages is not a condition of any purchase.

14. Disclaimers, Limitation of Liability, and Indemnity

Disclaimer of warranties. THE WEBSITE AND ITS CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, TBF EVENT MANAGEMENT AND BRAND OWNER DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ACCURACY. WE DO NOT WARRANT THAT THE WEBSITE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

Limitation of liability. TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER TBF EVENT MANAGEMENT NOR BRAND OWNER WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS OR DATA, ARISING FROM OR RELATED TO YOUR USE OF, OR INABILITY TO USE, THE WEBSITE. TBF EVENT MANAGEMENT' TOTAL LIABILITY FOR ANY CLAIM ARISING FROM OR RELATED TO THE WEBSITE WILL NOT EXCEED THE GREATER OF $100 OR THE AMOUNT YOU PAID TO TBF EVENT MANAGEMENT THROUGH THE WEBSITE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

This Section applies to your use of the Website. Liability relating to event attendance or participation is governed by the applicable Additional Terms, waivers, and releases. Nothing in these Terms limits liability for death or personal injury caused by gross negligence or willful misconduct, for fraud, or for any other liability that cannot be limited under applicable law. Some jurisdictions do not allow certain disclaimers or limitations, so some of the above may not apply to you, and you may have additional rights under the laws of your jurisdiction.

Brand Owner. Brand Owner's sole role is as owner and licensor of The Basketball Festival intellectual property. Brand Owner has no obligation or liability to you under these Terms or in connection with the Website, any event, or any transaction, and you agree not to bring any claim against Brand Owner relating to them, except a claim arising from Brand Owner's own conduct for which liability cannot be excluded by law.

Indemnity. You agree to defend, indemnify, and hold harmless TBF Event Management, Brand Owner, and their respective members, managers, officers, employees, contractors, and agents from any claims, losses, liabilities, damages, costs, and expenses, including reasonable attorneys' fees, arising from (a) your violation of these Terms, (b) your User Content, or (c) your violation of any law or third-party right.

Third-party beneficiary. Brand Owner is an intended third-party beneficiary of Sections 5 through 9, this Section 14, and Section 16, and may enforce them directly. Brand Owner's rights as a beneficiary do not make it a party to these Terms or impose any obligation on it.

15. Changes to These Terms

We may update these Terms from time to time. We will post the updated Terms with a new effective date and, for material changes, give reasonable advance notice, such as by email or a notice on the Website. Changes will not apply to any dispute that arose before the change was posted. If you continue to use the Website after the changes take effect, you accept the updated Terms. We may also modify, suspend, or discontinue any part of the Website at any time.

16. Governing Law and Venue

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-law rules. Any dispute arising from or relating to these Terms or the Website will be resolved exclusively in the state or federal courts located in Delaware, and you and we consent to the personal jurisdiction of those courts, except where applicable law gives you the right to bring a claim in your home jurisdiction.

17. General

  • Entire agreement. These Terms, the Privacy Policy, and any applicable Additional Terms are the entire agreement between you and TBF Event Management about the Website.

  • Severability. If any provision is found unenforceable, it will be enforced to the maximum extent permitted, and the rest of these Terms will remain in effect.

  • No waiver. Our failure to enforce any provision is not a waiver of our right to enforce it later.

  • Assignment. You may not assign these Terms without our written consent. TBF Event Management may assign these Terms, including to Brand Owner's successor licensee or to an affiliate, without your consent.

  • Survival. Provisions that by their nature should survive termination, including Sections 5 through 9, 14, 16, and 17, will survive.

  • Force majeure. We are not responsible for any delay or failure caused by events beyond our reasonable control.
