Exhibitor Rules

Effective Date: October 2, 2026

1. Show Management and These Rules

The Basketball Festival and its exhibit area (the "Show") are produced and operated by TBF Event Management, LLC, a Delaware limited liability company ("Show Management," "we," or "us"). "The Basketball Festival" name and related trademarks are owned by The Basketball Festival, LLC ("Brand Owner") and used by Show Management under license. Brand Owner does not produce or operate the Show and is not a party to any exhibitor agreement.

These Rules and Regulations ("Rules") are part of every exhibitor application and contract for the Show (together, the "Exhibitor Agreement"). Show Management is the sole contracting party with each exhibitor ("Exhibitor"). Each Exhibitor must make sure that all of its personnel, including employees, principals, sales representatives, models, and contractors, know and follow these Rules, and the Exhibitor is responsible for their conduct.

Show Management has full authority to interpret and enforce these Rules and to decide any matter they do not cover. If an Exhibitor violates these Rules or any Show policy, the Exhibitor must correct the violation immediately. Show Management may close or remove any exhibit, or remove any person, that violates these Rules, does not fit the character of the Show, or creates a safety concern, without refund.

2. Payment, Cancellation, and Space Assignment

Payment. Booth fees are due as stated in the Exhibitor Agreement. Show Management may cancel the booth of any Exhibitor that has not paid in full by the due date and reassign the space, and payments already made will be handled under the cancellation schedule below.
Cancellation by Exhibitor. Cancellations and reductions in space must be made in writing to Show Management. No refunds will be given after October 1st.

An Exhibitor that does not occupy its space by the end of move-in forfeits the space and all fees paid, and Show Management may reassign or use the space.

Space assignment. Show Management assigns booth locations and may relocate an Exhibitor or change the floor plan when needed for the Show, with notice to affected Exhibitors.

3. Use of Space

-
No Exhibitor may sublet, assign, or share any part of its space, or display products or signs for another company, without Show Management's prior written consent.
-
Aisles may not be used for exhibits, displays, signs, solicitation, or distribution of materials. Marketing materials may not be distributed or posted anywhere in the venue or host hotels outside the Exhibitor's assigned booth.
-
Basketball shooting or other athletic demonstrations in a booth are allowed only in booths [20' x 20'] or larger, with Show Management's advance approval of the setup, netting or containment that keeps balls inside the booth, and supervision at all times.
-
No live animals (other than service animals), helium balloons, drones, open flames, or amplified sound above levels set by Show Management.
-
Only venue personnel may access utility hookups.
-
Exhibitors must keep their booths staffed and open during all Show hours and may not begin dismantling before the Show closes.
4. Booth Package and Amenities

Booth packages included furnishings, flooring requirements, and available services vary by venue. The items included with each booth, and any flooring or other requirements for that location, will be listed in the Exhibitor Agreement for that Show.

Any furniture, flooring, electrical, internet, rigging, or other services not included in the booth package are the Exhibitor's responsibility and must be ordered through the official service providers designated by Show Management or the venue. Ordering information, forms, and deadlines will be provided before the Show. Exhibitors must follow all venue requirements for their location, including any flooring requirements.

5. Booth Construction

Booth height limits, side wall and drape rules, and other construction requirements vary by venue and booth type and will be listed in the Exhibitor Agreement for each Show. Any construction that exceeds those limits requires Show Management's advance written approval. At every location:

-
Neighboring booths: booths must not block neighboring Exhibitors' sightlines or access. Show Management may place hard-wall or taller booths where they will least affect other Exhibitors.
-
Booth backs and appearance: any part of a display visible to attendees, including the back of a pop-up or custom display, must be finished or draped at the Exhibitor's cost.
-
Storage: empty containers, boxes, product, and supplies may not be visible to attendees. Items left in view will be moved to storage at the Exhibitor's expense.
-
Accessibility: each Exhibitor is responsible for making its booth accessible to people with disabilities as required by the Americans with Disabilities Act and other applicable law.
6. Signs

-
Hanging signs require approval from the venue and Show Management and must follow the Exhibitor Services Kit.
-
Signs may not block the visibility of or access to neighboring booths.
-
Handwritten or unprofessional signs are not allowed in booths or common areas.
7. Move-In, Move-Out, and Freight

-
All move-in and move-out must use the designated loading docks, freight doors, and freight elevators. Lobbies, escalators, and passenger elevators may not be used.
-
Move-in must be complete by [time and date]. All booths must be fully set by [time and date]. Requests for additional move-in time must be approved by Show Management.
-
Move-out begins at [time and date] and must be complete by [time and date]. Materials left after that time may be removed and stored or disposed of at the Exhibitor's expense.
-
Exhibitors are responsible for arranging and paying for all freight to and from the Show and all material handling at the venue, following the Exhibitor Services Kit.
-
Exhibitor-appointed contractors must be registered with Show Management in advance and follow these Rules and all venue rules.
-
Parking is allowed only in designated parking facilities.
8. Exhibitor Badges and Admission

-
All Exhibitor personnel must be registered in advance and must pick up their own badges with photo ID. Unregistered personnel will not be admitted.
-
Badges are non-transferable and must be worn visibly at all times in the exhibit area. Replacement badges cost $75 each.
-
Exhibitor badges allow entry to the exhibit area during move-in and [one hour] before the Show opens each day.
-
Exhibitor-appointed contractors may receive temporary badges for move-in and move-out only.
-
Anyone under 18 must be accompanied by an adult at all times.
-
Show Management may revoke any badge and remove its holder for violating these Rules.
9. Event Tickets

Exhibitors may be offered the opportunity to buy tickets to The Basketball Festival games and events. Those tickets are subject to our Ticket Terms and Conditions, including that they are non-transferable and must match the purchaser's name. They may not be resold or used for any commercial, promotional, or fundraising purpose, including auctions, raffles, contests, sweepstakes, or booth giveaways. An Exhibitor whose tickets are resold or misused may lose ticket and exhibit privileges.

10. Hotel Accommodations

Show Management may hold a limited block of rooms for Exhibitors at the host hotel(s), allocated based on booth size. Reservation details will be sent electronically. Rooms in the block are for Exhibitor personnel only, may require a night minimum, and may be cancelled if the Exhibitor's booth is not paid in full. Exhibitors are responsible for their own hotel charges and any attrition or cancellation penalties charged by the hotel for rooms they reserve.

11. Merchandise Sales

-
Exhibitors may sell their own products in their booths [if the Exhibitor Agreement permits sales].
-
Exhibitors may not sell or display any merchandise bearing The Basketball Festival trademarks or logos unless they hold a written license. Exhibitors may not sell merchandise that infringes any third party's trademarks, copyrights, or other rights, including unlicensed team, league, or player merchandise. Show Management may remove infringing merchandise and close the booth without refund.
-
Exhibitors are responsible for obtaining any required permits and licenses, collecting and remitting all sales taxes, and paying any merchandising fees charged by the venue.
12. Samples, Giveaways, and Food and Beverage

-
Exhibitors may distribute samples and promotional items related to their own products or services.
-
Food and beverage sampling requires Show Management's advance approval and must comply with venue rules, health codes, and any venue catering exclusivity.
-
Alcohol may be served only with Show Management's express written approval and through venue-approved servers.
-
Tobacco, vaping, and cannabis products may not be distributed.
-
Contests, raffles, and drawings require Show Management's approval and must comply with all applicable sweepstakes and gaming laws. Event tickets may not be used as prizes or giveaways.
13. Use of TBF Trademarks

The Basketball Festival name, logos, and related marks are owned by Brand Owner. Exhibitors may truthfully state that they are exhibiting at The Basketball Festival, but any other use of the marks, including logos, requires prior written approval and must follow our Trademark Guidelines. Exhibitors may not suggest that Show Management or Brand Owner endorses or sponsors their products unless a sponsorship agreement allows it.

14. Exhibitor Directory and Attendee Information

Show Management may publish an Exhibitor directory or list for attendees, including Exhibitor names, logos, booth numbers, and descriptions provided by Exhibitors. Exhibitors grant Show Management and Brand Owner a non-exclusive license to use that information and their logos to promote the Show.

Show Management does not sell, rent, or share attendee lists with Exhibitors. Exhibitors may collect attendee contact information only directly from attendees who choose to provide it, such as through lead retrieval or sign-up forms, and must use it in compliance with applicable privacy, email, and text-messaging laws.

15. Exhibitor's Own Content and Intellectual Property

Each Exhibitor is responsible for its displays, products, materials, and music or video played in its booth, and represents that they do not infringe anyone's intellectual property, publicity, or privacy rights. Exhibitors that play music must hold any required public performance licenses.

16. Fire and Safety

-
Exhibitors must comply with all fire, building, health, electrical, and safety codes and venue rules.
-
Drapes, carpets, signs, and other decorative materials must be flame-resistant. Display samples are exempt.
-
Cartons, crates, and packing materials may not be stored under tables, behind back drapes, or elsewhere in the booth if prohibited by the fire marshal. Check the Exhibitor Services Kit or with the decorator for current fire marshal requirements.
-
Exits, fire equipment, and aisles must be always kept clear.
17. Security and Exhibitor Property

Show Management will provide general security for the exhibit area, including overnight, from the start of move-in through the end of move-out. Security staff are there for general supervision, badge checks, and order, not to guard individual booths.
Each Exhibitor is solely responsible for its own property, including booth materials, products, and personal items, and for insuring it. Exhibitors should not leave laptops, small electronics, or other valuables in their booths when the Show is closed. Exhibitors may hire additional booth security at their own cost but must notify Show Management in advance and follow all Show and venue rules.
Exhibitors are responsible for properly packing, labeling, and shipping their materials to and from the Show, and bear any loss or damage during shipping or handling.

18. Insurance

Each Exhibitor, and each of its contractors working at the Show, must maintain at its own expense, from move-in through move-out:

-
Commercial general liability insurance of at least $1,000,000 per occurrence and $2,000,000 aggregate, including products liability if the Exhibitor sells or samples products;
-
Workers' compensation insurance as required by law, and employer's liability insurance;
-
Liquor liability insurance, if serving alcohol; and
-
Commercial auto liability insurance, if vehicles are brought onto venue property.
The general liability policy must name TBF Event Management, LLC, The Basketball Festival, LLC, venue owner and operator, and their respective members, managers, officers, employees, and agents as additional insureds. Show Management may deny move-in to any Exhibitor that has not provided one.

19. Indemnity

Each Exhibitor will defend, indemnify, and hold harmless Show Management, Brand Owner, the venue, and their respective members, managers, officers, employees, contractors, and agents (the "Indemnified Parties") from all claims, losses, damages, fines, and expenses, including reasonable attorneys' fees, arising from (a) the acts or omissions of the Exhibitor, its personnel, or its contractors, (b) the Exhibitor's booth, products, samples, or materials, including any claim that they infringe anyone's rights, or (c) the Exhibitor's breach of the Exhibitor Agreement or these Rules, except to the extent caused by an Indemnified Party's gross negligence or willful misconduct.

20. Limitation of Liability

To the fullest extent permitted by law, the Indemnified Parties are not liable for any loss of or damage to Exhibitor property, for any lost profits, sales, or business opportunities, or for any indirect, incidental, or consequential damages. Show Management's total liability to an Exhibitor for any claim relating to the Show will not exceed the booth fees the Exhibitor paid for that Show. Brand Owner has no liability to any Exhibitor in connection with the Show.

21. Changes to or Cancellation of the Show

Show Management may change the Show's dates, hours, venue, or floor plan when reasonably necessary. If the Show is cancelled or cannot take place because of events beyond Show Management's reasonable control, including weather, natural disasters, public health emergencies, government orders, labor disputes, or loss of the venue, Show Management's only obligation will be to refund [the booth fees paid, less a proportional share of costs already incurred], or to apply them to a rescheduled or future Show at the Exhibitor's option. Show Management is not responsible for Exhibitors' travel, lodging, shipping, or other costs.

22. General

-
Brand Owner. Brand Owner is an intended third-party beneficiary of Sections 13 through 15 and 18 through 20 and may enforce them directly but has no obligations under the Exhibitor Agreement or these Rules.
-
Amendments. Show Management may issue additional rules or update these Rules before the Show by notice to Exhibitors, and Exhibitors must follow them.
-
Governing law. The Exhibitor Agreement and these Rules are governed by the laws of the State of Delaware. Disputes will be resolved in the state or federal courts located in Delaware.
-
Severability. If any provision is unenforceable, the rest remains in effect.
-
Conflicts. If these Rules conflict with a signed Exhibitor or sponsorship agreement, the signed agreement controls.
